How investing works

Five steps from interested to invested.

The same simple flow for every offering. You do the slow part — verifying who you are — only once.

1

Create an account

Email and a one-tap login — no password. Browsing and signing up are free.

2

Connect your wallet

A Coinbase Smart Wallet in seconds — no seed phrase to write down.

3

Verify once

Confirm your identity a single time — reused across every offering.

4

Invest in USDC

E-sign and send USDC. Funds go to a regulated agent or issuer — never Stobox.

5

Hold & manage

Your security mints into your wallet. Distributions arrive there too.

Who can invest

Open to investors worldwide.

Each offering is made under a specific regulation that decides who can invest and from where. Stobox reads your jurisdiction and checks your eligibility automatically — you'll always see exactly what applies, before you commit.

United States · Accredited

Reg D private placements

For investors who meet income or net-worth thresholds (the SEC's "accredited" definition).
Same flow: account → wallet → identity → invest → hold
One extra step: a quick accreditation check (about two minutes)
Re-checked per offering (it expires roughly every 90 days)
Typically higher minimums; access to private deals

If an offering is accredited-only, you'll be guided through the check before you invest.

United States · Everyone

Reg CF & Reg A+ offerings

Open to the public — you don't need to be accredited to invest.
Same flow: account → wallet → identity → invest → hold
No accreditation needed — identity verification only
Investment limits may apply, based on income and net worth
Lower minimums; access to assets that used to be off-limits

Investing carries risk and these assets can be illiquid — invest only what you can afford to hold.

Non-US · International

Reg S offerings

For investors outside the US — buying US offerings that are sold offshore.
Same flow: account → wallet → identity → invest → hold
Open to non-US persons under the US Reg S offshore exemption
No US accreditation required — your local rules still apply
Eligibility and limits depend on your country — shown before you commit

Availability varies by country — some offerings aren't open everywhere.

European Union · EEA

EU Prospectus Regulation

For investors in the EU/EEA, under EU securities law.
Same flow: account → wallet → identity → invest → hold
Invest under the EU Prospectus Regulation (successor to the Prospectus Directive)
MiFID II sets your category — retail, professional, or eligible counterparty
Protections and limits scale to your category and country

Passported across EU/EEA member states; availability varies.

Geo-aware by design. Stobox reads your country at sign-in and only shows offerings you're eligible for.

Your wallet

One wallet that's your login, your ID, and your vault.

A Coinbase Smart Wallet does three jobs at once — and you stay in control of all of them.

Sign in anywhere, hold everything yourself.

The same wallet signs you in to any issuer's page on Stobox, anchors your one-time identity check, and holds every tokenized security you own — across every issuer — in one place. No seed phrase to lose, and Stobox can never move your assets or sign on your behalf.

What you're buying

A real security — in tokenized form.

Tokenization changes how a security is held and transferred, not what it is. You own a regulated instrument, recorded on-chain.

A genuine stake

Shares, fund interests, or fractional real-asset ownership — issued under a real regulatory exemption, not a novelty token.

Distributions on-chain

Any yield or distributions the issuer pays arrive in your wallet in USDC, with the cap table kept in sync automatically.

Transferable, when allowed

Compliant transfer rules are built into the token. Secondary trading is enabled by the issuer where regulation permits.

What it costs you
$0

Investing is free.

No fee to browse, create an account, connect a wallet, verify, or invest. You pay only the amount you choose to invest. Network and any third-party fees are shown up front, and Stobox never takes a percentage of your investment — because Stobox never holds your money.

How you're protected

Designed so the platform can't touch your money or your data.

Non-custodial

Your funds flow from your wallet to a regulated agent or the issuer's contract. Stobox is never in the flow of funds, and never holds your keys.

Your data isn't warehoused

Identity checks are done by regulated verification providers. Stobox reads a simple verified yes/no — it doesn't store your documents.

Regulated by design

Offerings are made by the issuer, and regulated securities sales run through licensed broker-dealers. Stobox provides the technology.

A note on risk

Investing in private and tokenized securities involves risk, including the possible loss of your entire investment, and these assets are often illiquid — you may not be able to sell when you want. Investment limits may apply to non-accredited investors. Nothing here is investment advice or an offer to sell a security. Review each offering's documents and consider your own circumstances before investing.

FAQ

Questions, answered.

Do I have to be accredited to invest?+

It depends on the offering. Reg D private placements are for accredited investors (those meeting income or net-worth thresholds). Reg CF and Reg A+ offerings are open to everyone, usually with investment limits based on your income and net worth. Stobox shows you what applies and checks your eligibility automatically before you commit.

What is a Coinbase Smart Wallet, and why do I need one?+

It's a self-custody wallet you set up on your device — no password, no seed phrase to write down. On Stobox it does three things: signs you in, anchors your one-time identity verification, and holds the tokenized securities you buy. You keep full control; Stobox can never move your assets or sign for you.

Does Stobox hold my money or my securities?+

No. Stobox is non-custodial. When you invest, your USDC goes from your wallet to a regulated agent or the issuer's contract, and the security mints directly into your wallet. Stobox is never in the flow of funds and never holds your keys.

Do I really only verify once?+

Your identity check is reused across every Stobox offering — verify once, invest anywhere. For accredited-only (Reg D) offerings there's an additional accreditation check that's specific to the offering and refreshed periodically (accreditation expires about every 90 days).

What does it cost to invest?+

Nothing beyond the amount you invest. Browsing, accounts, wallets, verification, and investing are free. Any network or third-party fees are shown up front, and Stobox never takes a percentage of your investment.

Can I sell my tokenized security later?+

Sometimes — it depends on the offering and the regulation. Compliant transfer rules are built into the token, and secondary trading is enabled by the issuer where and when it's permitted. Treat these as potentially illiquid and invest accordingly.

Is this investment advice?+

No. Stobox is a technology provider, not a broker-dealer or investment adviser, and nothing here is advice or a recommendation. Each offering is made by its issuer; review the offering documents and consider your own situation.
